These Terms of Service ("Terms") govern your access to and use of the Jingtai Hardware Website (https://cngtxc.com, "Website") and any services, products, or transactions provided by Jingtai Hardware ("we", "us", "our"). By accessing or using our Website, submitting a quote request, placing an order, or engaging with our services, you ("you", "your") agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from accessing or using our Website or engaging with our services.

1. Scope of Services

Jingtai Hardware is a professional manufacturer of hinge bearings, hinge accessories, wire forming products, and other custom hardware solutions. We provide B2B services to global buyers, wholesalers, and OEM manufacturers, including product sales, customization (OEM/ODM), and related support services. Our services are provided in accordance with these Terms and any additional written agreements entered into between you and our enterprise.

2. Eligibility

To access and use our Website and services, you must satisfy the following criteria:

  • Be a legal entity (e.g., company, partnership) or an individual acting on behalf of a legal entity, engaged in business activities related to hardware procurement.
  • Be at least 18 years of age (if acting as an individual).
  • Possess the legal authority to enter into contracts on behalf of your company or organization.
  • Comply with all applicable laws and regulations, including EU export/import laws and data protection laws (e.g., GDPR).

3. Website Use

3.1 Permitted Use

You may use our Website solely for legitimate business purposes, including browsing our products, submitting quote requests, and contacting our enterprise. You agree not to use our Website for any unlawful or prohibited purpose, including but not limited to:

4. Quotes and Orders

4.1 Quotes

All quotes provided by our enterprise are valid for a period of 30 days from the date of issuance, unless otherwise specified in writing. Quotes are based on the information you provide (e.g., product specifications, quantity, delivery location) and are subject to product availability. We reserve the right to revise or withdraw a quote in the event of a pricing error, changes in product availability, or inaccuracies in the information you provided.

4.2 Orders

When you place an order with our enterprise, you are making a formal offer to purchase our products or services in accordance with these Terms. We reserve the right to accept or reject your order at our sole discretion. An order shall be deemed accepted when we issue a written confirmation (e.g., email, order acknowledgment). Upon acceptance, the order shall constitute a binding contract between you and our enterprise.

You agree to provide accurate and complete information when placing an order (e.g., product specifications, delivery address, contact details). Our enterprise shall not be liable for any delays or errors caused by inaccurate or incomplete information provided by you.

4.3 Pricing and Payment

  • Pricing shall be as stated in our quotes or order confirmations, and shall be exclusive of VAT, customs duties, and other applicable taxes or fees, unless otherwise specified in writing.
  • Payment terms shall be as agreed in writing (e.g., 30% deposit upon order confirmation, 70% balance prior to delivery). All payments must be made in the currency specified in the quote or order confirmation.
  • If you fail to make payment in accordance with the agreed terms, we may suspend or cancel your order, and you shall be liable for any additional costs (e.g., interest, late fees) incurred by our enterprise.

4.4 Delivery

  • Delivery times are estimated and may vary based on product availability, customization requirements, and shipping logistics. We shall notify you promptly of any significant delays in delivery.
  • Delivery shall be on an FOB (Free On Board) basis from our manufacturing facility in China, unless otherwise agreed in writing. Risk of loss or damage to the products shall pass to you upon delivery to the carrier.
  • You shall be responsible for any customs duties, import taxes, or other fees associated with the delivery of products to your location. Our enterprise shall not be liable for delays or issues caused by customs clearance.

5. Product Quality and Warranty

We warrant that our products shall be free from defects in materials and workmanship for a period of 12 months from the date of delivery, provided that the products are used in accordance with their intended purpose and our instructions. This warranty shall not cover defects caused by improper use, misuse, modification, or normal wear and tear.

If you believe a product is defective, you must notify our enterprise in writing within 30 days of discovering the defect. We shall, at our sole discretion, repair, replace, or refund the defective product, provided that the product is returned to us in its original condition (at your cost, unless the defect is due to our negligence).

This warranty constitutes the sole and exclusive warranty provided by our enterprise, and we disclaim all other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6. Customization (OEM/ODM)

If you request custom products (OEM/ODM), you must provide our enterprise with detailed specifications, drawings, or samples. We shall use reasonable efforts to manufacture the products in accordance with your specifications, but we reserve the right to make minor adjustments if necessary to ensure product quality or compliance with applicable standards.

You shall be responsible for ensuring that your specifications do not infringe upon the intellectual property rights of third parties. Our enterprise shall not be liable for any claims arising from infringement caused by your specifications.

Custom products shall be non-returnable and non-refundable, unless they are defective in materials or workmanship (in accordance with Section 5).

7. Limitation of Liability

To the maximum extent permitted by applicable law, Jingtai Hardware shall not be liable for any direct, indirect, incidental, consequential, or special damages (including but not limited to loss of profits, loss of business, or loss of data) arising from your access to or use of our Website, products, or services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the total amount paid by you for the products or services in question.

This limitation of liability shall not apply to damages caused by our gross negligence, willful misconduct, or breach of data protection obligations (e.g., GDPR violations).

8. Termination

We may terminate these Terms or your access to our Website at any time, without prior notice, if you breach any of these Terms. Upon termination, you must cease all access to and use of our Website and services, and any outstanding orders may be canceled at our sole discretion.

You may terminate these Terms by providing our enterprise with written notice, provided that you have no outstanding orders or obligations to us.

Sections 3.2 (Intellectual Property), 7 (Limitation of Liability), 9 (Confidentiality), 10 (Governing Law), and 11 (Miscellaneous) shall survive the termination of these Terms.

9. Confidentiality

You agree to maintain the confidentiality of any non-public information you receive from our enterprise (e.g., pricing, product specifications, trade secrets, customer data) and shall not disclose or use this information for any purpose other than engaging with our services. Our enterprise shall also maintain the confidentiality of any non-public information you provide to us (e.g., custom specifications, business plans), unless required by law to disclose such information.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), China, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, our Website, or our services shall first be resolved through good-faith negotiation between you and our enterprise. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration in Hong Kong in accordance with the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules, with one arbitrator appointed by HKIAC. The arbitration shall be conducted in English.

11. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and our enterprise regarding your access to and use of our Website and services, and supersede all prior or contemporaneous agreements, representations, or warranties, whether written or oral.
  • Amendments: We may amend these Terms from time to time by posting the updated Terms on our Website. Your continued access to or use of our Website or services after the updated Terms are posted shall constitute your acceptance of the changes.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Assignment: You shall not assign these Terms or any of your rights or obligations under these Terms without our prior written permission. We may assign these Terms to a third party at our sole discretion.
